Lakeville Area Garden Club Bylaws

ARTICLE I - NAME
The name of this organization shall be “Lakeville Area Garden Club”.
ARTICLE II - OBJECTIVE
The objective of this organization shall be: To further the education of members in the fields of gardening, horticulture, civic beautification, and conservation of natural resources.
ARTICLE III - MEMBERSHIP
Membership shall consist of persons 18 years or older, who live in Lakeville and the surrounding areas, who will actively support the objectives and projects of this organization, and who pay annual dues.
Section 1. Definition of the Lakeville Area.
The Lakeville Area includes residents in Lakeville, Apple Valley, Burnsville, Credit River, Eagan, Elko, Farmington, New Market, Prior Lake, Rosemount, Northfield, Jordan, and Savage.
Section 2. Exemptions for 2021 Members
2021 Club members who are living outside the defined Lakeville area, but who are still able to actively support (participate in events and volunteer for our activities) the objectives and projects of this organization, will be provided the option to remain a LAGC member.
ARTICLE IV - OFFICERS AND EXECUTIVE BOARD; DUTIES
Section 1. Officers and Duties
The officers shall be: president, vice president, secretary and treasurer. They shall be elected at the annual meeting for one (or two) years.
Section 2. The president shall preside at all meetings and is an ex-officio member of all committees except the nominating committee and may appoint committees as needed.
Section 3. The vice president shall preside in the absence of the president and shall chair the program committee.
Section 4. The secretary shall record the minutes of each meeting and shall be custodian of all records of the meetings of the club and papers pertaining to the office. In the absence of the secretary, he/she shall find a replacement to record the minutes of the meeting. The secretary shall conduct necessary correspondence, keep all letters on file, and notify members of special meetings.
Section 5. The treasurer shall collect all dues and keep an accurate record of all funds and keep a membership list.
Section 6. All officers shall constitute the executive board. This board transacts the general business of the club, considers all questions of policy, and presents recommendations to the club for action.
Section 7. If a vacancy occurs in the executive board, the executive board shall fill the vacancy for the remainder of the unexpired term of office.
Section 8. Term of Office
The term of office whenever possible shall be for two years. The term of president being limited to two consecutive years.
ARTICLE V - COMMITTEES
The president shall name and appoint chairmen of all committees standing, or temporary.
ARTICLE VI - ELECTIONS
Section 1. Two or three members shall be appointed by the president and executive board to serve on the nominating committee. They shall prepare a slate of candidates for office. Further nominations shall be taken from the floor.
Section 2. If there is more than one candidate for the same office, election shall be by ballot, and a majority vote shall elect. If there is only one candidate for each office, election can be by voice vote.
ARTICLE VII - QUORUM
A quorum shall consist of one-third of the paid membership.
ARTICLE VIII - PARLIAMENTARY AUTHORITY
“Robert’s Rules of Order Newly Revised” shall be the authority and govern the proceedings in all cases to which they are applicable and in which they are not inconsistent with club bylaws and standing rules of this club.
ARTICLE IX - AMENDMENTS
The bylaws may be amended at any regular meeting of the club by a two-thirds vote of the paid membership provided the proposed amendment has been submitted in writing at the previous regular meeting.
